Domain Registration Agreement

Introduction

This Domain Registration Agreement (the “Registration Agreement”) governs the registration, renewal, transfer, and administration of domain names obtained through Pladinum Group SL (“Pladinum”, “we”, “us”, “our”) by the person or entity registering the domain name (the “Registrant”, “you”, “your”).

This Registration Agreement supplements the General Terms and Conditions and prevails over them in respect of domain name services. Where a conflict arises between this Registration Agreement and the rules of ICANN or of the registry responsible for a given extension, those rules prevail.

By ordering, renewing, or transferring a domain name through Pladinum, you accept this Registration Agreement without reservation.

1. Registrar of Record

1.1 Pladinum provides domain name registration services as a reseller of an ICANN-accredited registrar. Pladinum is not itself an ICANN-accredited registrar and does not represent itself as one.

1.2 The sponsoring registrar of record for any domain name registered through Pladinum can be identified at any time by performing a WHOIS or RDAP lookup at https://lookup.icann.org. Pladinum will identify the sponsoring registrar on request.

1.3 Pladinum is responsible for providing customer service, billing, and technical support in relation to your domain name.

2. Effectiveness of Registration

2.1 A domain name registration becomes effective only when all of the following conditions are met: (i) you have accepted this Registration Agreement without modification; (ii) the registrar has approved the registration application; (iii) full payment of all applicable fees has been received; and (iv) the registry operator responsible for the extension has confirmed and activated the registration.

2.2 Payment, or receipt of a confirmation or invoice, does not guarantee successful registration. Domain names are allocated on a first come, first served basis unless the registry provides otherwise.

2.3 Where a registration cannot be completed, Pladinum will refund the amount paid for that registration, provided the operation can be cancelled and refunded by the registry.

3. Registration Data

3.1 Accuracy. You must provide accurate, complete, and reliable contact details, and must correct and update them within seven (7) calendar days of any change, throughout the term of the registration. This includes:

(i) the full name, postal address, email address, and telephone number of the Registrant;
(ii) the name of an authorised contact person where the Registrant is an organisation, association, or company;
(iii) the name, postal address, email address, and telephone number of the administrative contact;
(iv) the name, postal address, email address, and telephone number of the technical contact; and
(v) the names of the primary and secondary nameservers.

3.2 Material breach. Wilfully providing inaccurate or unreliable information, wilfully failing to update that information within seven (7) calendar days of a change, or failing to respond for more than fifteen (15) calendar days to enquiries concerning the accuracy of contact details, constitutes a material breach of this Registration Agreement and is grounds for suspension or cancellation of the domain name registration.

3.3 Email verification. In accordance with the ICANN Whois Accuracy Program Specification, the Registrant’s email address must be verified within fifteen (15) days of any registration, transfer, or change to contact information. Failure to verify within that period constitutes a material breach and will result in suspension of the domain name and associated services.

3.4 Purposes of collection. Registration data is collected in order to register and administer the domain name, to comply with the policies of ICANN and of the relevant registry, and to meet Pladinum’s obligations to the sponsoring registrar.

3.5 Recipients. Registration data is transmitted to the sponsoring registrar, the registry operator responsible for the extension, ICANN where applicable, an escrow agent appointed under the ICANN Registrar Accreditation Agreement, and any other party to whom disclosure is required under applicable policy or law. Certain data may be published in public WHOIS or RDAP directories in accordance with registry policy.

3.6 Obligatory and voluntary data. The data fields required vary by extension and are indicated at the point of collection. Fields not marked as required are voluntary.

3.7 Access and rectification. You may access and correct your registration data through the customer portal, or by contacting privacy@pladinum.com.

3.8 Data processing. You consent to the processing of registration data as described in this Section and in the Privacy Policy.

4. Registering on Behalf of Another Party

4.1 Where you provide information about or on behalf of a third party, you represent that you are authorised to act as that party’s agent for this purpose, that you have given that party notice of the disclosure and use of their information as set out in this Registration Agreement, and that you have obtained their express consent to it. This applies to all third parties listed as Registrant, administrative, or technical contact.

4.2 Licensing use of a domain name. Where you license the use of a domain name to a third party, you remain the Registrant of record and retain full legal responsibility for the domain name. You must provide and maintain accurate technical and administrative contact details sufficient to allow timely resolution of any problem arising in connection with the domain name.

4.3 By licensing use of a domain name, you accept liability for harm caused by the wrongful use of that domain name, unless you disclose the identity of the licensee and their current contact details within seven (7) calendar days of a written request accompanied by reasonable evidence of actionable harm.

5. Your Representations

5.1 You represent that, to the best of your knowledge and belief, neither the registration of the domain name nor the manner in which it is used, directly or indirectly, infringes the legal rights of any third party.

5.2 You represent that the domain name is not being registered for any unlawful purpose, and that all information provided in connection with the registration is accurate.

5.3 You must not use a domain name registered through Pladinum to distribute malware, operate botnets, conduct phishing, infringe trademarks or copyright, engage in fraudulent or deceptive practices, distribute counterfeit goods, or engage in any activity contrary to applicable law.

6. Registry and ICANN Rights

6.1 You acknowledge that your registration is subject to suspension, cancellation, redirection, or transfer by ICANN, by the sponsoring registrar, or by the registry operator, at their sole discretion, in order to: (i) comply with specifications adopted by any authoritative industry body; (ii) correct mistakes made in registering the name; (iii) protect against threats to the security or stability of the registry or the internet; (iv) comply with applicable law or a decision of a competent authority; or (v) resolve a dispute concerning the domain name.

6.2 Where a dispute arises concerning the time at which a registration entered the registry system, the timestamp recorded in the registry system prevails.

6.3 No refund is due where a domain name is suspended, cancelled, or transferred under this Section.

7. Registry Policies

7.1 Each extension is administered by a registry that applies its own terms, eligibility rules, and dispute procedures. Those rules form part of this Registration Agreement in respect of any domain name registered under that extension and are binding on you.

7.2 Registry rules may change at any time. Continued use of the domain name after such a change constitutes acceptance of it.

7.3 Premium and non-standard domain names may carry registration and renewal fees that differ from the standard fees for the same extension. Where this applies, the applicable fee is shown before purchase.

8. Renewal, Expiry and Deletion

8.1 The renewal, expiry, grace, redemption, and deletion of domain names are governed by the Domain Renewal, Expiry and Deletion Policy, which forms part of this Registration Agreement.

8.2 It remains your responsibility to ensure that a domain name is renewed before its expiry date if you wish to retain it.

8.3 Domain name renewals are not refundable.

9. Transfers and Change of Registrant

9.1 Transfers of a domain name to or from Pladinum are governed by the Domain Transfer Terms.

9.2 A change of Registrant is governed by the Change of Registrant Agreement.

9.3 Designated Agent. In accordance with the ICANN Transfer Policy, you expressly authorise Pladinum and the sponsoring registrar to act as your Designated Agent to approve a change of Registrant on behalf of both the prior Registrant and the new Registrant.

9.4 Transfer locks. For generic top-level domains, a domain name may not be transferred to another registrar during the first sixty (60) days following initial registration, a transfer into the sponsoring registrar, or a change of Registrant. For country-code top-level domains, the applicable period is determined by the registry and may differ.

10. Dispute Resolution

10.1 You agree to be bound by the Uniform Domain Name Dispute Resolution Policy (UDRP), the Uniform Rapid Suspension procedure (URS), and the Transfer Dispute Resolution Policy, as adopted by ICANN and as amended from time to time, and by the equivalent procedures of any registry responsible for a country-code extension.

10.2 For the adjudication of disputes concerning or arising from the use of a domain name, you submit, without prejudice to other potentially applicable jurisdictions, to the jurisdiction of the courts of (i) your own domicile and (ii) the location of the sponsoring registrar.

10.3 Further detail is set out in the Domain Dispute Policy.

11. Suspension and Disclosure

11.1 Pladinum reserves the right, without liability and without prior notice, to suspend a domain name or to disclose registration data to a third party or in a public directory where necessary: (i) to comply with applicable law, a subpoena, a court order, or a request from law enforcement; (ii) to comply with the UDRP or URS; (iii) to resolve a third-party claim, including a claim of trademark infringement; (iv) where you are in breach of this Registration Agreement; (v) to comply with registry rules; (vi) to avoid financial loss or legal liability on the part of Pladinum or the sponsoring registrar; or (vii) to prevent inappropriate activity, including the use of privacy services to conceal involvement in unlawful activity.

12. Privacy Services

12.1 Where WHOIS privacy is available for an extension and has been activated, the terms of the WHOIS Privacy Terms apply.

12.2 You acknowledge that privacy services may be suspended or lifted in the circumstances described in Section 11, and that the underlying registration data continues to be held and, where required, escrowed.

13. Indemnification

13.1 You agree to indemnify, defend, and hold harmless Pladinum, the sponsoring registrar, ICANN, the registry operator responsible for the extension, and each of their directors, officers, employees, and agents, from and against any and all claims, damages, liabilities, costs, and expenses, including reasonable legal fees, arising out of or related to your domain name registration, its use, or any dispute concerning it.

13.2 This indemnity is in addition to any indemnification required under the applicable dispute resolution policy and survives termination or expiry of this Registration Agreement.

14. Limitation of Liability

14.1 To the maximum extent permitted by applicable law, neither Pladinum nor the sponsoring registrar shall be liable for: (i) suspension or loss of a domain name registration; (ii) use of the registration by you or by others; (iii) interruption of business; (iv) access delays or interruptions; (v) non-delivery, mis-delivery, or corruption of data; (vi) events beyond reasonable control; (vii) the processing of a registration application; or (viii) the application of any dispute resolution policy.

14.2 In no event shall aggregate liability exceed the total amount paid by you for the registration of the domain name at issue for the then-current registration period.

14.3 Nothing in this Section excludes or limits liability that cannot lawfully be excluded or limited.

15. Records

15.1 Pladinum maintains records of orders, of your acceptance of this Registration Agreement including the date and time, of transfer requests, and of written communications, for a period of at least two (2) years.

17. Changes to this Agreement

17.1 This Registration Agreement may be amended at any time, including without notice where required in order to comply with terms imposed by ICANN or by a registry operator. The current version is published on the Site. Continued use of a domain name after a change takes effect constitutes acceptance of the revised Registration Agreement.

17.2 If you do not accept a change, you may request that the domain name be transferred to another registrar, subject to the transfer rules in Section 9.

18. Governing Law

18.1 This Registration Agreement is governed by the laws of Spain, without prejudice to Section 10.2 and to the rules of ICANN and of the relevant registry.
